Selling SaaS into Nigerian enterprises: the contract reality

Five years ago, selling SaaS into a Nigerian bank or insurer mostly meant building a custom contract from scratch. Today, large enterprise buyers expect terms that would look familiar to anyone selling into Europe or North America.

Master Services Agreements, Data Processing Addenda, security schedules, and SLA tables are now standard. What changes is the local detail: jurisdiction, dispute resolution, data localisation, and tax handling.

Vendors who close fastest arrive with a clean MSA template that already covers Nigerian data protection requirements and accepts a small, well-defined set of deviations. Vendors who arrive with a US-only template usually spend two extra months in legal review.

On the buyer side, procurement teams are getting sharper about liability caps, indemnities, and audit rights. Aggressive vendor positions on those get pushed back hard.

The takeaway: invest in the template once, with counsel who has done this on both sides of the table. Your second and third enterprise deals then close in weeks, not quarters.
